A Single member company is a Private Company, Limited by Shares having share capital, and is incorporated with one member. Single member companies, must still have a company secretary, and two directors. The single member in the company, does not have to hold Annual General meetings.
The Formation of a Single Member Company, is similar to forming a Private Limited Company. A Single Member Company must still make an annual return to the Companies Registration office, regardless to whether it has traded or not.
